Service Provider agrees to provide remote staffing services to Client as detailed in Exhibit A attached hereto (the “Services”).
The initial term of this Agreement shall be on a month-to-month basis, starting on [Start Date]. The Agreement may be terminated by either party with a one-week notice before the concluded separation date.
The Client will receive a weekly invoice every Friday for the Services provided during the week from Friday to Thursday and has agreed to make payments through credit card every Friday.
Client agrees to pay a refundable retainer fee of $100 upon execution of this Agreement. This retainer fee will be applied to the final bill should the Client hire an assistant through Service Provider. If the Client decides not to hire an assistant, the retainer will be refunded to their account within 7 days of such decision.
If the Client fails to pay the weekly invoice by the due date, the assistant’s services will be paused two days from the due date of the invoice. Services will resume upon payment.
WorkStaff360 is committed to ensuring the utmost satisfaction of its Clients.
Under the Customer Satisfaction Guarantee, if a Virtual Assistant fails to complete at least 95% of the time agreed upon in the Service Agreement, the Client is entitled to a total refund of the fees paid for the unused portion of time.
To avail of the refund under the Customer Satisfaction Guarantee, the Client must notify WorkStaff 360 within 24 hours of the completion of the service period in question.
WorkStaff360 reserves the right to assess the validity of refund requests and may require documentation to support the claim.
The hourly rate for the assistant’s services shall be [Insert Hourly Rate].
The schedule of the hired assistant will be [Insert Schedule, e.g., Monday to Friday, 9:00 AM to 5:00 PM].
Both parties agree to keep confidential all non-public information obtained during the term of this Agreement.
Either party may terminate this Agreement with a one-week notice before the concluded separation date with no termination fees.
In the event that the Client finds the assigned assistant not suitable for the role, the Client may request a replacement at no additional charge.
Similarly, if the assistant expresses the intent to resign, the Service Provider will find a replacement within 2-3 business days, free of charge.
Service Provider is an independent contractor and not an employee of the Client. Service Provider is responsible for all taxes and benefits related to its personnel.
WorkStaff360 shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the virtual assistant services.
This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.
