Non-Compete Agreement

1. Definition of Terms

1.1. Confidential Information

Refers to any proprietary, confidential, or trade secret information provided by the Service Provider to the Client, including but not limited to business strategies, client lists, pricing information, and any other non-public information.

1.2. WorkStaff360 Assistant

 Refers to the individual or individuals provided by the Service Provider to the Client for the purpose of rendering virtual assistance services.

2. Non-Compete Obligations

The Client agrees that during the term of engagement with the WorkStaff360 Assistant and for a period of 12 months following the conclusion of the engagement, the Client shall not directly or indirectly:

Engage, employ, or hire the WorkStaff360 Assistant, whether as an employee, contractor, or in any other capacity, without the prior written consent of the Service Provider.

Solicit or attempt to solicit, either directly or indirectly, the services of the WorkStaff360 Assistant for any competing business or for the benefit of any third party.

Utilize the services of the WorkStaff360 Assistant for any business activities other than those specifically agreed upon between the Client and the Service Provider.

3. Confidentiality Obligations

The Client agrees to maintain the confidentiality of all Confidential Information provided by the Service Provider during the engagement with the Virtual Assistant and thereafter.

The Client shall not disclose, reproduce, or use the Confidential Information for any purpose other than the specific engagement for which the WorkStaff360 Assistant is provided.

4. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.
